Terms of Service
Effective July 1, 2026.
These Terms of Service (the “Terms”) govern your use of ZiDynamix — the audio mastering platform operated by Panda Learning Labs LLC (“we,” “us,” or “our”). By creating an account, accessing the service, or uploading any audio, you agree to be bound by these Terms and by our Privacy Policy.
1. Eligibility
You must be at least 16 years old (or the age of digital consent in your country, whichever is higher) to use ZiDynamix. If you are using the service on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.
2. Account
You are responsible for keeping your login credentials confidential and for all activity that
occurs under your account. Notify us promptly at [email protected] if you
suspect your account has been compromised. We may suspend or close accounts that violate these
Terms or that we reasonably believe are being used to abuse the service.
3. Subscriptions and billing
ZiDynamix is offered on subscription plans (“Basic,” “Pro,” and “Premium”) billed monthly or yearly through a third-party payment processor. By subscribing you authorize Panda Learning Labs LLC (via that processor) to charge your payment method for the recurring fee plus applicable taxes until you cancel.
You may cancel anytime from the Subscription page in your account. Cancellation takes effect at the end of your current billing period; you retain access until then. We do not pro-rate refunds for unused time on a cancelled subscription.
Refunds beyond the cancellation policy above are at our discretion and are typically considered
only for billing errors or service unavailability extending beyond a reasonable window. Email

We may change subscription pricing for future billing cycles with at least 14 days’ notice by email. If you don’t accept the change, cancel before the new price takes effect.
4. Your content and license
As between you and ZiDynamix, you retain all rights, title, and interest in the audio you upload — including your source files, recordings, compositions, stems, mixes, and metadata — and in the processed outputs generated from it (together, “Your Content”). We do not claim ownership of Your Content, and we claim no master-recording, composition, publishing, royalty, neighboring, or other copyright rights in it.
To operate the service, you grant Panda Learning Labs LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transcode, process, analyze, create previews of, and deliver Your Content solely as necessary to provide, maintain, secure, and improve the service you request (e.g., running the rendering pipeline, generating preview clips, and delivering the finished master back to you). This license does not transfer ownership of Your Content to us, and it does not give us the right to sell, distribute, publish, license, or otherwise commercially exploit Your Content except as necessary to provide the service or as you separately authorize. It terminates when you delete Your Content from ZiDynamix or close your account.
We do not use Your Content to train any AI model, and we do not use it for any purpose other than providing the service to you.
You represent and warrant that you own, or have obtained, all rights, licenses, consents, and permissions necessary to upload, store, process, preview, download, and otherwise use Your Content through the service — including any rights in the sound recordings, musical compositions, lyrics, vocals, beats, samples, loops, stems, performances, artwork, names, likenesses, and metadata it contains. Unless you choose to share Your Content through a link or public-sharing feature, ZiDynamix does not publicly display your uploads or processed outputs. You are solely responsible for any content you choose to make public.
5. Acceptable use
You agree not to:
- upload audio you do not have the rights to use — including commercial songs, tracks taken from streaming or video platforms, or third-party recordings, stems, vocals, beats, loops, samples, remixes, or cover recordings — unless you hold all required rights and permissions;
- use the service to create infringing derivative works;
- use the service to produce content that is unlawful, defamatory, or harmful (including but not limited to non-consensual intimate audio, content that exploits minors, or content meant to harass another person);
- attempt to reverse-engineer, decompile, or extract the proprietary algorithms, recipes, or models that power ZiDynamix;
- use the service to redistribute, resell, or operate a competing mastering product;
- circumvent plan limits, or use automated, bulk, or scripted processing outside normal individual use;
- upload malware, impersonate others, commit fraud, or otherwise interfere with the service’s operation (e.g., scraping at unreasonable rates, circumventing rate limits, or probing for vulnerabilities outside a coordinated disclosure).
We do not provide copyright clearance, sample clearance, cover-song licensing, publishing administration, or royalty collection; securing any rights your use of the service requires is your responsibility.
6. Our intellectual property
ZiDynamix, the ZiSonic engine, our recipes, our website, and our brand are owned by Panda Learning Labs LLC and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the service for its intended purpose; nothing in these Terms transfers ownership of any ZiDynamix intellectual property to you.
7. Service availability and plan limits
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, deploy updates, or experience outages. We do not provide SLA-backed uptime commitments at this tier.
Plans may include usage, storage, file-size, processing, and concurrency limits, as well as fair-use restrictions. We may throttle, limit, or suspend usage that is excessive, automated, abusive, or otherwise abnormal, even on a plan described as unlimited.
8. Suspension and termination
You may close your account at any time. We may suspend or terminate your account, limit access to the service, or block downloads if we believe you have violated these Terms, created legal risk, abused the service, failed to pay fees, or used the service in a way that harms ZiDynamix or others. On termination your right to use the service ends; we may delete data associated with the account after a reasonable retention window described in our Privacy Policy.
We may also remove, disable access to, or restrict processing of any Content or output that we believe may violate these Terms, infringe a third party’s rights, create legal risk, or violate applicable law. Consistent with our DMCA Policy, we may suspend or terminate the accounts of users who repeatedly infringe intellectual-property rights.
9. Disclaimers
The service is provided “as is” and “as available” without warranty of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the mastering output will meet your specific creative or commercial expectations.
ZiDynamix provides audio-processing tools only and does not provide legal, copyright, licensing, distribution, publishing, royalty, or music-business advice. We do not guarantee that any processed audio will be accepted by any distributor, streaming platform, label, publisher, content-identification system, or other digital service provider.
10. Limitation of liability
To the maximum extent permitted by law, Panda Learning Labs LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with these Terms or the service. Our aggregate liability under these Terms is limited to the fees you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold Panda Learning Labs LLC harmless from claims by third parties arising out of (a) Your Content, (b) your use of the service in violation of these Terms, or (c) your violation of any law or third-party right.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Your continued use of the service after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of California, United States of America, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms is subject to the exclusive jurisdiction of the state and federal courts located in that jurisdiction, except where local consumer-protection law grants you a non-waivable right to your home jurisdiction’s courts.
